Terms of Service

These Terms of Service ("Terms") govern your access to and use of Utylo.com ("Utylo", the "Service", "we", "us" or "our"). By visiting the site or using any of the tools on it, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. The Service

Utylo is a website that provides a collection of free, browser-based utility tools — image processing, text manipulation, developer utilities, calculators, converters, generators, and so on. The Service is provided as a free convenience; no account is required, and there is no fee to use any tool. We may add, modify, or remove tools at any time without notice.

2. Who can use it

You may use Utylo if you are at least 13 years of age and legally capable of entering into a contract in your jurisdiction. By using the Service you represent that you meet these requirements. Utylo is not directed at children under 13, and we do not knowingly collect their personal information (see our Privacy Policy).

3. Acceptable use

You agree not to use the Service, or permit it to be used, for any purpose that is unlawful or prohibited by these Terms. In particular, you agree not to:

• Process content you do not have the legal right to process — including copyrighted material, trade secrets, or personal data of third parties without a lawful basis.
• Use the tools to generate content intended to harass, defame, defraud, or discriminate against any person or group.
• Attempt to reverse-engineer, decompile, or circumvent any security features of the site, or to interfere with its normal operation.
• Run automated scraping, load testing, or denial-of-service traffic against the site or the third-party APIs it calls (see Section 6).
• Use the site to develop a competing product by systematically copying the tool set or underlying code.
• Attempt to defeat the advertising system by injecting, hiding or tampering with ad units.

We reserve the right to block access from IP addresses or networks that appear to be violating these rules.

4. Your content and output

The files, text, numbers, and other inputs you provide to a tool belong to you. We do not claim any ownership of them. Because almost every tool runs entirely in your browser, we typically never receive your inputs in the first place — see the Privacy Policy for specifics.

The output produced by the tools — compressed images, formatted JSON, generated passwords, generated QR codes, sitemap XML, and so on — is yours to use for any lawful purpose, including commercial purposes, without attribution. We do not claim any rights over the output, but we also make no representation that the output is free of third-party rights: for example, a QR code generated from a URL you do not own, or a meme generated from a copyrighted image, may still be subject to someone else's rights.

5. Intellectual property in the Service itself

The Utylo name, logo, site design, user interface, source code, and accompanying copy are owned by the operators of Utylo and are protected by copyright, trademark and other intellectual-property laws. Nothing in these Terms transfers any rights in those materials to you. You may link to any page of Utylo, and you may take screenshots for legitimate purposes such as reviews or tutorials, but you may not copy the site or substantial portions of it and present it as your own.

6. Third-party services

Utylo relies on a small number of third-party services: a hosting and CDN provider, an advertising partner (Google AdSense), anonymous analytics providers, and public APIs used by a handful of tools that fundamentally require external data (for example, IP geolocation and currency exchange rates). Your use of those tools is also subject to the terms and rate limits of the underlying provider. We do not guarantee the availability, accuracy or continued existence of any third-party service.

7. Advertising

Utylo is supported by display advertising. Ads are served through Google AdSense and may be personalised, contextual, or non-personalised depending on your consent choices and jurisdiction. Any transactions you enter into with third parties advertised on the site — including purchases, subscriptions, and prize draws — are solely between you and that third party. We are not responsible for such transactions and cannot mediate disputes arising from them.

8. No warranty

The Service and all tools are provided on an "as is" and "as available" basis, without warranty of any kind, express or implied. We make no warranty that the Service will be uninterrupted, timely, secure, or error-free, nor that the results produced by the tools will be accurate, complete, or suitable for any particular purpose.

Tools that perform financial, health, or legal calculations (such as the Loan Calculator, BMI Calculator, Compound Interest Calculator, Privacy Policy Generator, and Terms Generator) are informational only. They do not constitute financial, medical, or legal advice, and you should consult a qualified professional before relying on any output for a consequential decision.

9. Limitation of liability

To the fullest extent permitted by law, neither Utylo nor its operators, contributors, or suppliers shall be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service — even if we have been advised of the possibility of such damages. Our aggregate liability to you for all claims arising from or relating to the Service shall not exceed one hundred United States dollars (US $100).

Some jurisdictions do not allow certain limitations of liability, so one or more of the above limitations may not apply to you. In that case, our liability is limited to the minimum permitted by the applicable law.

10. Indemnification

You agree to indemnify and hold harmless Utylo and its operators from and against any third-party claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any applicable law or third-party right.

11. DMCA and copyright complaints

Utylo respects the intellectual property of others. If you believe that content accessible on or from Utylo infringes your copyright, please send a notice through the Contact page (subject line beginning with "Legal:") that includes:

• A physical or electronic signature of the copyright owner or a person authorised to act on their behalf.
• Identification of the copyrighted work claimed to have been infringed.
• The specific URL on Utylo where the allegedly infringing material is located, with enough detail to let us find it.
• Your contact information (name, address, telephone, email).
• A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorised to act on their behalf.

We will review valid notices and respond promptly, which may include removing or disabling access to the material and terminating access for users who are repeat infringers.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is otherwise harmful to other users, to Utylo, or to third parties. On termination, the sections of these Terms that by their nature should survive — including the limitations of liability, indemnification, and governing-law provisions — will continue to apply.

13. Changes to the Service and to these Terms

We may modify the Service or these Terms at any time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

14. Governing law and disputes

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the jurisdiction in which Utylo is operated, without regard to its conflict-of-laws principles. You agree that any dispute arising from these Terms or your use of the Service will be resolved exclusively in the competent courts of that jurisdiction, except where mandatory consumer protection laws in your country of residence grant you a non-waivable right to bring proceedings in your local courts.

15. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Utylo relating to the Service, and supersede any prior agreements on the same subject matter.
